You agree not to use the Site in any way that violates applicable federal, state, local, or international law or regulation; to transmit any unsolicited or unauthorized advertising or promotional material; to impersonate or attempt to impersonate the Academy, an Academy employee, another user, or any other person or entity; or to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site.

You are responsible for ensuring that any persons who access the Site through your internet connection are aware of these Terms and comply with them.

The Site and its entire contents, features, and functionality — including but not limited to text, graphics, logos, course descriptions, and software — are owned by Security Private Eye, LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may access and use the Site for your personal, non-commercial informational purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Site without our prior written consent, except as permitted by applicable law.

The Site and all training content, course descriptions, materials, and resources are provided for educational and informational purposes only. Nothing on the Site constitutes legal, regulatory, compliance, audit, or live incident-response advice, and nothing should be relied upon as such. You should consult qualified professionals for advice specific to your situation.

Accessing the Site, submitting an inquiry form, or requesting information about a program does not create a professional, consulting, attorney-client, or any other advisory relationship between you and Security Private Eye, LLC or the Academy.

Course descriptions, schedules, pricing, and availability displayed on the Site are for informational purposes only and do not constitute a binding offer or contract. Submission of a course request, corporate training inquiry, or career services inquiry form does not guarantee enrollment, acceptance, availability, scheduling, a specific price, certification, employment, advancement, or any particular outcome or result.

All program details are subject to change. Confirmed program terms, pricing, and scope are communicated separately in writing — through a proposal, statement of work, or order form — prior to the commencement of any paid engagement. Those documents control in the event of any conflict with information on the Site.

You agree not to submit through any Site form: login credentials or passwords; security findings, vulnerability details, or penetration test results; regulated personal data (including health, financial, or government-issued identification data); incident evidence or forensic artifacts; or internal network architecture, system diagrams, or proprietary business information.

Any submission that violates this section may be disregarded and deleted. The Academy assumes no obligation of confidentiality with respect to unsolicited submissions.

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or the server that makes it available are free of viruses or other harmful components. We do not warrant or make any representations regarding the accuracy, reliability, or completeness of any content on the Site.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SECURITY PRIVATE EYE, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO SECURITY PRIVATE EYE, LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS (USD $100.00), TO THE EXTENT PERMITTED BY APPLICABLE LAW.

The current version of the Site does not include user account registration or direct payment-card data collection. No payment-card or financial account data is submitted through or stored by this Site.

You agree to defend, indemnify, and hold harmless Security Private Eye, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

These Terms and any dispute arising out of or related to them or the Site shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict-of-law provisions, unless a separate written agreement between you and Security Private Eye, LLC expressly provides otherwise, in which case that agreement controls.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Georgia, and you hereby consent to personal jurisdiction and venue in such courts.

We reserve the right to modify these Terms at any time. When we do, we will update the Effective Date at the top of this page. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

The Site may contain links to third-party websites, including secprivateeye.com and external book, resource, or tool providers. Those sites are operated by their respective owners and are governed by their own terms of use and privacy policies. We are not responsible for the content, accuracy, or practices of any third-party site, and a link does not constitute an endorsement.

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any written proposal, statement of work, or order form executed between you and Security Private Eye, LLC, constitute the entire agreement between you and the Academy with respect to your use of the Site and supersede all prior or contemporaneous understandings, representations, or agreements, whether written or oral, relating to that subject matter.
